Operating Agreement

Exhibit C1 – Membership Provisions

 

  1. Benefits and Responsibilities of Membership in the Boise EcoVillage Project, LLC (“Community”)

 

  1. Benefits of Membership. Subject to the decision-making process contained in Exhibit D to the Operating Agreement, Community Members may:
    1. Plan and host events in the yurt or on other Community property
    2. Harvest their fair share of food from the garden
  • Operate an approved business onsite that shares profits with the Community
  1. Receive a 20% discount on all Community classes and workshops

 

  1. Responsibilities of Membership. Subject to the decision-making process contained in Exhibit D of the Operating Agreement, Community Members must:
    1. Participate in one or more Village Circles
    2. Contribute a minimum of $10 per month to the Community
  • Contribute at least 4 hours of time per month to the Community, including but not limited to Circle work.

 

  1. Admission of Community Members into the Community

 

  1. The Membership Circle (or Core Council if there is no Membership Circle) shall develop and maintain a membership application.
  2. A potential new Community Member must complete the membership application and submit it to the Membership Circle (or Core Council if there is no Membership Circle).
  3. The Membership Circle (or Core Council if there is no Membership Circle) shall facilitate the review of membership applications by:
    1. providing a copy of the application to all current Community Members;
    2. calling a meeting to discuss the membership application upon request by any Community Member; and
  • obtaining consent to add the new Community Member from all Community Members that have been Community Members for at least three months from the date of the membership application.
  1. Upon approval, the Membership Circle (or Core Council if there is no Membership Circle) shall orient the individual and provide a copy of the Operating Agreement and all its Exhibits.
  2. An individual is not officially a new Community Member until the individual signs the Membership Agreement, attached as Exhibit C2 to the Operating Agreement, and gives a signed copy to the Membership Circle (or Core Council if there is no Membership Circle).

 

  1. Removal of Community Members

 

  1. Reasons for removal. Community Members are subject to removal for physical violence or threats of physical violence, destruction of property, financial impropriety, fraud or any other action that is inconsistent with the Membership Agreement.

 

  1. Removal during first 6 months: The Membership Circle or the Core Council may remove a new Community Member without going throughout the process described below within the first 6 months of membership if the Membership Circle or the Core Council determines the new member is failing to comply with the Membership Agreement.

 

  1. Removal after first 6 months – After the first 6 months of membership, a Community Member may be expelled from the Community only after a process lead by the Harmony Circle (or the Core Council if there is no Harmony Circle) that includes the participation of all Community Members and is conducted pursuant to the decision-making process in Exhibit D.
